1. Services

seq-nee provides IT infrastructure management, cybersecurity, cloud solutions, VPN deployment, server management, and IT consulting services ("Services") to enterprise clients. The specific scope, deliverables, timelines, and fees for any engagement shall be defined in a separate Statement of Work (SOW) or service agreement.

2. Use of Website

You agree to use our website only for lawful purposes. You shall not:

• Attempt to gain unauthorised access to any part of the website, server, or systems connected to the website
• Use the website in any manner that could disable, damage, or impair its functionality
• Use automated tools (bots, scrapers, crawlers) to access or extract data without our written consent
• Transmit any malicious code, viruses, or harmful material through the website
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

3. Service Agreements

3.1 Engagement Terms

All professional services provided by seq-nee are governed by a signed service agreement, Statement of Work (SOW), or Master Services Agreement (MSA) between seq-nee and the client. These Terms supplement (but do not replace) the terms of any signed agreement.

3.2 Service Level Agreements (SLAs)

Where applicable, SLAs for uptime, response times, and resolution times will be defined in the relevant service agreement. seq-nee commits to meeting the SLA targets specified in each engagement.

3.3 Project Changes

Any changes to the agreed scope of work must be documented through a written change request. Additional work outside the original scope may incur additional fees as mutually agreed.

4. Payment Terms

• All fees are quoted in Indian Rupees (INR) unless otherwise specified
• Payment terms are as specified in the relevant service agreement, typically Net 30 from invoice date
• Late payments may attract interest at a rate of 1.5% per month on outstanding amounts
• All applicable taxes (GST) will be charged in addition to the quoted fees
• seq-nee reserves the right to suspend services in case of non-payment beyond 60 days

5. Intellectual Property

5.1 seq-nee Property

All content on this website — including text, graphics, logos, images, code, and design — is the property of seq-nee and is protected by Indian and international copyright laws. You may not reproduce, distribute, or create derivative works without our written permission.

5.2 Client Deliverables

Unless otherwise specified in the service agreement, all custom deliverables created specifically for a client engagement shall become the property of the client upon full payment. seq-nee retains the right to reuse general methodologies, tools, and frameworks developed during the engagement.

6. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and sensitive information shared during the course of any engagement. This obligation survives the termination of the service agreement for a period of three (3) years.

Confidential information does not include information that:

• Is or becomes publicly available through no fault of the receiving party
• Was already known to the receiving party before disclosure
• Is independently developed by the receiving party
• Is required to be disclosed by law or court order

7. Limitation of Liability

To the maximum extent permitted by applicable law:

• seq-nee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity
• Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the client in the twelve (12) months preceding the claim
• We make no warranties, express or implied, regarding the website or our services, except as explicitly stated in a signed service agreement

8. Indemnification

You agree to indemnify and hold harmless seq-nee, its directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our website or your breach of these Terms.

9. Term and Termination

• These Terms remain in effect for as long as you use our website
• We reserve the right to suspend or terminate your access to the website at any time, without notice, for conduct that we believe violates these Terms
• Termination of professional service engagements is governed by the respective service agreement
• Provisions relating to intellectual property, confidentiality, limitation of liability, and indemnification survive termination

10. Force Majeure

seq-nee shall not be liable for any failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, power failures, internet outages, cyberattacks, or acts of war.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

12. Changes to These Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our website after changes constitutes acceptance of the revised Terms.
